Experience

Silver Kayondo is a Ugandan and South African dual-trained Foreign Direct Investment/FDI
lawyer specializing in facilitating inward-bound investments and commercial relationships across
East Africa.
He advises governments/sovereigns, corporates, high net-worth individuals, regulators, lenders,
digital/virtual entities, funds (both debt and equity), family offices and philanthropists on projects,
M&A, JVs, and partnerships.

Silver also assists international firms and in-house teams as local counsel on cross-border
matters in Uganda and across the East African region through issuing legal opinions, regulatory
memos, political risk assessments, dispute resolution, due diligence, securities perfection,
restructuring, market entry & expansion opportunities, sustainability strategies, policies and
contract reviews.

Silver has travel and representative experience in Uganda, Kenya, Tanzania, Rwanda, Burundi,
DRC, South Sudan, Ghana, South Africa, USA, Germany, and both onshore and offshore UAE.

  • Advised an international digital transport services provider on the legal and regulatory framework for its Ugandan operations.
  • Advised a Silicon Valley search engine operator on its legal and regulatory obligations relating to data protection, privacy, and consumer protection responsibilities.
  • Advised an international social media giant on the legal implications of the “over-the-top” OTT/social media tax in Uganda.
  • Advised an international bank on cheque truncation (digital cheques) under Ugandan the Ugandan Financial Institutions Act and the Electronic Transactions Act, 2011.
  • Advised Raintree Farms a Ugandan Moringa agrichemical advice on its USD 1.5 million investment from a private equity fund.

Regulatory Consultations

  • Consulted by the Uganda Registration Services Bureau (URSB) on the Security Interest in Movable Property Bill (now Act) aimed at the recognition, regulation, and registration of movable assets as collateral.
  • Consulted by the Capital Markets Authority of Uganda (CMA) regarding the proposed amendment of the Corporate Bond Guidelines, 2003 to provide for infrastructure bonds and municipal bonds.
  • Participated in the Uganda Communications Commission (UCC) stakeholder consultation on the proposed review of the Telecommunications Licensing Framework.
  • Consulted by the Bank of Uganda (Ugandan Central Bank) on the National Payment Systems Act, 2020, and regulations there under.
  • Consulted by the Ugandan Ministry of ICT and National Guidance on the Data Protection and Privacy Act, 2019.
